Agility Robotics and Churchill Capital Corp XI expect the humanoid-robotics company to receive about $465 million in gross capital from their proposed business combination and related financings. The companies announced the updated amount on October 30, 2026, ahead of a November 2 shareholder vote and a planned November 5 Nasdaq debut.

How the $465 million package is structured

Agility said the expected total includes about $164 million from Churchill XI’s trust account, approximately $201 million from a common-stock private investment priced at $10 per share, and $100 million of equity funding already received after the business combination was announced. Foxconn is leading the private investment alongside existing and new institutional investors.

The $465 million figure is before transaction expenses and remains dependent on the deal closing. Churchill XI shareholders are scheduled to vote on November 2, the business combination is expected to close November 4 if approvals and other conditions are satisfied, and the combined company expects to begin trading on Nasdaq under the ticker AGLT on November 5.

Why the transaction matters for AI stocks

The planned listing would give public-market investors a focused way to track humanoid robotics, a segment that combines artificial intelligence, industrial automation and advanced hardware. Agility says Digit has accumulated more than 65,000 hours of real-world operation, while the company’s pipeline spans manufacturing, automotive, aerospace, defense, logistics and consumer products.

That opportunity also carries execution risk. Agility must convert pilots and prospective customers into larger deployments, scale production and service capacity, and meet product milestones. Those challenges resemble the commercialization questions facing other autonomous-technology companies, including Kodiak AI and Mobileye, even though the products and target markets differ.

Dates and milestones investors should watch

The next firm event is Churchill XI’s extraordinary general meeting on November 2. If shareholders approve the transaction and other closing conditions are met, the companies expect to complete the combination on November 4 and start Nasdaq trading the following day.

Operationally, Agility expects deployments with GXO at two additional facilities beginning in early 2027 and an AGCO manufacturing pilot during 2027. The broader AI investment cycle remains sensitive to corporate spending and cloud infrastructure growth, illustrated by recent results from Alphabet, but Agility’s near-term valuation will depend more directly on closing the transaction and delivering robots on schedule.
