The XMax HexaGaN acquisition would add a developer of 1200-volt vertical gallium nitride power semiconductor technology to the company. XMax signed the agreement on October 5 and announced it on October 9, separating the transaction date from the later disclosure.

XMax HexaGaN acquisition uses two payment tranches

XMax disclosed the terms in an SEC Form 8-K filed on October 9. The company agreed to buy 97% of Hexa Creation from Professor Yuji Zhao and the remaining 3% from Skysong Innovations, making Hexa a wholly owned subsidiary after closing.

The filing sets the aggregate price at $4,123,711.34. XMax will pay $2 million to Zhao at closing, less a previously paid $500,000 deposit, and $61,855.67 to Skysong; matching deferred amounts are due by December 31, 2027 and accrue interest after closing.

XMax also agreed to cover a change-of-control payment equal to 5% of the purchase price under Hexa’s intellectual-property license. The company cannot sell or pledge the Hexa shares before the deferred consideration and interest are fully paid without the relevant seller’s consent.

Why the deal focuses on AI power infrastructure

In its October 9 transaction announcement, XMax said Hexa’s roadmap centers on a native 1200V vertical GaN trench MOSFET. The target applications include AI data center power systems, electric vehicles, energy storage and high-speed charging.

The acquisition does not establish that the semiconductor has reached commercial production or secured customers. XMax described the technology as a roadmap and said it believes higher-voltage data center architectures could increase demand, making those statements forward-looking rather than completed operating results.

Investors evaluating that strategy can compare it with Fusion Market News coverage of the Pinewood.AI acquisition. The transaction structures differ, but both show how listed companies use acquisitions to add specialized technology or market access.

Closing conditions remain material

The agreement requires accurate representations, performance of covenants, continuation of the intellectual-property license and no material adverse effect at Hexa. Either XMax or the seller can terminate if the acquisition has not closed by April 5, 2027, subject to the contract’s terms.

The financing schedule also matters because more than half of the purchase price is deferred beyond closing. Fusion Market News explainers on the balance sheet and free cash flow outline where investors can examine cash, liabilities and funding capacity.

The immediate development is a signed acquisition agreement, not a completed semiconductor commercialization program. The next verifiable milestones are closing, subsequent payment disclosures and evidence that Hexa’s technology advances toward production.
