The Schneider capital raise generated €6.0 billion to fund part of the planned acquisition of industrial-software company PTC. The French energy-technology group placed 25 million new shares at €240 each through an accelerated bookbuilding process.
Schneider capital raise locks in equity financing
Schneider announced the completed placement on October 20, one day after launching the transaction. The company issued the shares without preferential subscription rights for existing shareholders and limited the offering to qualified investors.
The €240 subscription price included €4 of nominal value and €236 of issue premium. Schneider had 578,605,363 ordinary shares outstanding before the placement, including treasury shares, making the 25 million new shares equal to about 4.32% of its prior share capital.

Net proceeds will cover part of the PTC purchase, alongside planned debt financing and potential drawings under committed bridge facilities. Schneider’s October 5 acquisition announcement said total cash consideration of roughly €22 billion would be funded with about €5 billion to €6 billion of equity and €16 billion to €17 billion of new debt.
PTC expands Schneider’s industrial software strategy
PTC supplies product-design, product-lifecycle-management and service software used across industrial sectors. Schneider has said the combination can connect product design, operations and energy management while supporting AI-enabled digital workflows.
The strategy sits at the intersection of industrial automation and artificial intelligence. Investors are already weighing AI spending and risk across the market, including the IMF’s warning on AI-linked market concentration and Microsoft’s agentic AI security framework.
Schneider expects €250 million of annual cost synergies by the third year after closing and about €800 million of revenue synergies. PTC shareholders are due to receive $205 per share in cash if shareholder and regulatory conditions are met.
What shareholders will watch next
The placement removes uncertainty over the equity portion of the financing, but it also increases Schneider’s share count. Investors will now focus on the cost and timing of the planned debt issuance, regulatory reviews and PTC shareholder approval.
Execution matters because the acquisition is large relative to Schneider’s existing software portfolio. The next tests are whether the company can protect its Category A credit ratings and deliver the forecast synergies without weakening returns. The market is also scrutinizing large technology investments more broadly, as seen in the recent Nasdaq earnings outlook.
Schneider’s regulated-information page records the October 20 placement, while the company’s October 5 acquisition release provides the transaction and financing framework.
