The Crescent Energy offering expanded to 92 million shares after underwriters exercised their full option on October 9. Crescent expects about $1.12 billion in net proceeds to help finance its planned Eagle Ford asset acquisition.

Crescent Energy offering expands to 92 million shares

Crescent priced the base offering on October 8 and granted underwriters a 30-day option for another 12 million shares. The company’s SEC filing said the option was exercised in full on October 9.

The combined sale covers 92 million Class A shares. Crescent expects 422.46 million Class A shares outstanding immediately after closing, subject to the offering completing as planned.

The company expects the offering to close October 13 under customary conditions. Fusion Market News’ balance sheet explainer provides context for the effect of new equity on cash and shareholders’ equity.

Crescent Energy offering supports Eagle Ford purchase

Crescent plans to use the proceeds for part of the cash consideration in its acquisition of Eagle Ford assets from Devon Energy Production Company. That asset transaction is expected to close in the fourth quarter of 2026 or early 2027, subject to regulatory and customary conditions.

The equity sale is not contingent on the asset purchase closing. If the acquisition does not complete, Crescent said the proceeds would support general corporate purposes, including repayment of subsidiary debt.

Pending deployment, Crescent plans to temporarily reduce borrowings under its revolving credit facility. Fusion Market News’ free cash flow guide explains why financing sources and operating cash generation require separate analysis.

KKR affiliate takes half of the base offering

The official pricing announcement said Independence Energy Aggregator, a KKR affiliate, agreed to purchase 40 million shares at the public price. The buyer held about 7.9% of Crescent’s Class A stock before the transaction.

Crescent reported an expected $1.1159 billion in net proceeds after discounts, commissions and estimated expenses. The final amount includes proceeds from the fully exercised underwriter option.

The Crescent Energy offering increases the public share count while funding a larger asset base. Fusion Market News’ Gran Tierra sale report offers additional context on how energy companies are reshaping portfolios through asset transactions.
