The Hepion Gravitas acquisition closed on October 6, making Gravitas Life Sciences a wholly owned subsidiary. Hepion disclosed the completed transaction and its related-party review in an SEC filing dated October 9.
Hepion Gravitas acquisition closes with cash and stock
Hepion agreed to acquire all outstanding membership interests in Gravitas Life Sciences on October 6. The company’s Form 8-K said consideration included $2 million in cash and 25 million common shares valued at $2.25 million under the agreement’s formula.
The agreement capped the stock issuance at 19.99% of Hepion’s outstanding shares immediately after issuance. Any required reduction in shares would be settled through an equitable cash payment, while the issued shares carry transfer restrictions.
Hepion also paid an additional $135,000 to Gravitas Collective. Readers can use Fusion Market News’ balance sheet guide to review how cash, equity and acquired assets affect corporate accounts.
Related-party ties shaped the approval process
The filing identified directors Vincent LoPriore, Gary Stetz, Sireesh Appajosyula and Chase LoPriore as Gravitas officers or shareholders. Hepion classified the deal as a related-party transaction, and each affiliated director disclosed the conflict and abstained from deliberation and voting.
Disinterested directors approved the transaction after finding its terms fair and in shareholders’ interests. Hepion also obtained a fairness opinion from Ryan Valuation Services covering the purchase consideration.
President Street Global advised Hepion, while Stetz serves as that firm’s chief executive. The filing disclosed those relationships, which investors can assess alongside the company’s governance and financing decisions.
Hepion Gravitas acquisition changes company leadership
The Hepion Gravitas acquisition also changed the executive structure. The board appointed Appajosyula as chief executive and Stetz as chief financial officer, both effective October 9.
Gravitas now operates as a Hepion subsidiary following the completed closing. Fusion Market News’ free cash flow explainer outlines how acquisition spending can affect cash generation, while its Option Care transaction report provides broader deal context.
The current filing confirms completion rather than a pending merger. Investors should watch Hepion’s future financial statements for purchase accounting, operating contributions and any effects from the issued shares.
